Workshop Cancelation Policy

Public Session Workshop Terms & Conditions

Your attendance at a Kepner-Tregoe (KT) Workshop shall signify that you have reviewed and understand the Terms and Conditions enclosed herewith and that you agree to be bound by, and to comply with, the Terms and Conditions and all conditions established by KT in connection with your attendance at the Session.

Workshop Cancellation Policy

Cancellations or requests to reschedule received less than 10 (ten) business days, or 2 (two) calendar weeks prior to the start date of this program will not be eligible for a refund. Should you need to cancel or reschedule within this timeframe, replacements are acceptable with the advance approval of KT. If you do not notify us in advance of your inability to attend, you will be billed the full cost of the program.

KT will confirm the workshop schedule for the session ten (10) business days, or 2 (two) calendar weeks prior to the date of the session. In the event that a workshop must be cancelled due to unforeseen circumstances, all fees and deposits are refunded in full or may be transferred to another workshop held within the next 12 months.

KT is not responsible for reimbursement of non-refundable airline tickets, hotel, etc. in the event of a workshop cancellation. Please check on the workshop status before making travel arrangements.

You may replace an individual for the workshop, prior to the training commencing, with the consent of KT which will not be unreasonably withheld. Written notice of the replacement must be made to KT prior to the commencement of the training session.

Workshop Payment Policy

Workshop fees must be paid in full prior to the attendance at the workshop, unless agreed to in advance in writing by KT.

Materials: Intellectual Property

KT reserves all rights with respect to its intellectual property and to third-party intellectual property of which it is an authorized Licensor, including, without limitation, intellectual property delivered in connection with the services to be performed by KT under this Agreement, whether expressed in print, electronic media, or any other form. You shall not modify, reproduce, or reuse on paper, electronic or any other media, any KT materials or third-party licensed intellectual property provided within this workshop without the prior written consent of KT. Nothing herein shall be construed as conveying an ownership interest in or license to KT’s or any third-party’s intellectual property provided to you in the workshop.

Each set of workshop materials, either in paper or digital format, is intended for singular use and is assigned to the person who initially takes possession. The paper materials are not to be shared or distributed to others. Similarly, usernames and passwords for digital materials are not to be shared or distributed to others. Should you receive both digital and paper workshop materials, these are intended for assignment to the same person only.

Warranty

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND FROM ANY CAUSE ARISING OUT OF THE SERVICES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, GOODWILL, OR BUSINESS INTERRUPTION.KT’S LIABILITY SHALL IN ALL EVENTS BE LIMITED TO THE SUM OF ALL FEES CHARGED BY KT HEREUNDER.

KT shall apply reasonable care and skill while performing Services. KT’s sole liability for breach of this warranty shall be to re-perform the Services in question. This warranty shall only extend for a period of ten (10) days after completion of the Services in question.

ALL OTHER WARRANTIES, REPRESENTATIONS, TERMS AND CONDITIONS (STATUTORY, EXPRESS, IMPLIED OR OTHERWISE) AS TO QUALITY, CONDITION, DESCRIPTION, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE HEREBY EXPRESSLY EXCLUDED.

Limitation of Liability

You expressly understand and agree that KT and its affiliates, officers, employees, agents, partners and licensors shall not be liable to you in any way for any direct, indirect, special, incidental, punitive or consequential damages of any character, including without limitation damages for loss of goodwill, work stoppage, computer failure or malfunction, loss of data, loss of productivity or contract or any and all other commercial damages or losses resulting from any matters relating to the attendance at our workshops.

We do not exclude or limit our liability to you in any case where it would be unlawful to do so. If any exclusion or limitation of liability is held inapplicable or unenforceable, then our liability to you for any direct or non-direct type of damages shall be limited to the amount you have paid for the workshop. In no event shall we be liable for damages in excess of this sum.

Indemnification

You agree to defend, indemnify and hold harmless KT, its shareholders, directors, officers, employees, agents, attorneys, parent companies, subsidiaries and affiliates from and against any and all claims, liabilities, judgments, penalties, taxes, costs and expenses (including reasonable attorney fees and costs) arising out of or related to your breach of this Agreement or any of its representations, warranties, covenants or undertakings hereunder. KT shall promptly notify you of any action commenced on such a claim. KT shall have the right at all times, in its sole discretion, to retain or assume control of the defense of any such claim. You agree not to settle any claim unless you have received consent in writing from KT expressly authorizing you to do so.

Force Majeure

KT shall not be liable hereunder for any failure or delay in the performance of its obligations under this Agreement if such failure or delay is on account of a Force Majeure Event. A Force Majeure Event shall mean any causes beyond KT’s reasonable control, including labor disputes, civil commotion, war, riots, fires, floods, earthquakes, inclement weather, governmental regulations or controls, pandemics, epidemics, local disease outbreaks, public health emergencies, quarantines, casualty, strikes, the unavailability of labor or materials to the extent beyond KT’s control, embargoes, civil strife, acts of terrorism, or acts of God, in addition to any and all other events, regardless of their dissimilarity to the foregoing, deemed to render performance of the Agreement impracticable or impossible under the law, in which event KT shall be excused from its obligations for the period of the delay.

Miscellaneous

This agreement contains the entire agreement between the parties hereto pertaining to the subject matter. This agreement shall be governed by the substantive laws of the State of New Jersey, without regard to its conflicts of law principles. The venue for any dispute arising hereunder shall be the state or U.S. federal courts located in New Jersey.

 

For workshops scheduled in United Kingdom, Germany, France, Netherland or other European Union countries:

Article 6 – Modifications to the Public Session

KT and the client may terminate the agreement prematurely, if performance of the Public Session proves considerably impeded or impossible due to modification(s) to the Public Session. Stipulations made in article 7 apply as such. In the event of any unforeseen circumstances arising during the execution of the Public Session, resulting in modification and alteration of the Public Session, both parties may make these changes only if agreed during mutual consultation. Should KT fail to complete any part of the Public Session, or if any part of the Public Session is not completed within the agreed timeframe, the client does not have the right to dissolve the agreement, unless an express written confirmation concerning such part of the Public Session exists.

Article 7 – Premature termination of the Public Session

KT has the right to terminate the Public Session in writing and without notice if the client, in spite of notification of default, continues to fail to comply with the conditions as agreed upon concerning the Public Session. Each party may terminate the assignment in writing, observing a four week termination period, if activities cannot be performed in accordance with the Public Session specifications as agreed upon in writing. Interim termination will not apply without reasonable consultation between both parties concerning the continuation or modification of the Public Session. In the event that the Public Session is prematurely terminated, KT will be entitled to compensation for all activities performed thus far, including additional costs made during such time. The client will not be entitled to any compensation of damage or costs in the event of interim termination of the Public Session. In the event of either party going into liquidation or applying for suspension of payment, the other party may terminate the Public Session without observing a notice period.

Article 8 – Cancellation of training by the client

In the event of cancellation of training participation by the client, the client must provide KT with prior notification in writing by registered mail, electronic mail or fax. If cancellation is made more than 30 days prior to the commencement of training Public Session, KT is entitled to 25% of the Public Session Workshop value. Any expenses incurred by KT will be payable in full by the client. If cancellation is made within 30 days of training commencing, KT is entitled to 100% of the full. Public Session value or as agreed upon. Any expenses incurred by KT will be payable in full by the client. The client is not entitled to any reimbursement, should he/she or any of the client’s employees terminate or otherwise not participate in the training after its commencement. A request to transfer a booking from one party to another will be treated as a cancellation if it is received less than 30 days before the Public Session commences. Substitutes are acceptable provided that the Public Session preparation is completed by the new participant, and that KT is informed of the name & address of the substitute before the start of the Public Session.

Article 9 – Confirmation & Cancellation of training by KT

KT reserves the right to cancel a training Public Session, reject participation or reschedule a training Public Session with at least 30 days notice to the registrant/client. Under such circumstance and at the clients option, the Public Session fees already paid can be applied towards another KT training Public Session. KT will always confirm the workshop schedule for the Public Session with the client. In the event that 30 days prior to the date of the session the minimum number of participants for the session have not enrolled, KT shall have the right to cancel any such session without any liability to [client] for travel expenses incurred or otherwise. KT strongly encourages clients either to make all travel arrangements related to the KT workshop session after KT confirms the session or to ensure that travel expenses are refundable in the event KT elects to cancel any such session due to insufficient enrollment.

Article 10 – Replacement

The client may not replace an applicant entered for the training, prior to the training commencing, without the consent of KT. KT may at any time appoint an alternative consultant/trainer to that originally allocated to the training Public Session. Both parties agree to mutual consultation concerning modification and compensation in the event that KT consider additional consultant(s) /trainer(s) are required to facilitate the timely and professional completion of the assignment.

For workshops scheduled in China,  Singapore, Thailand, Taiwan, Malaysia and Hong Kong:

1.  Payment Terms – In advance and in full upon receipt of invoice before the workshop(s) to enjoy any bulk discounted price if applicable; otherwise normal price applies.

2.  Any cancellation/postponement made 14 (fourteen) or more days before commencement of workshop will receive a refund less ( SG$100.00 / RM100.00 / HK$500.00 / NT$2,000.00 / RMB500.00 ) for handling and administration charges. Otherwise, a 30% fee will be levied on cancellation made less than 14 days before the workshop commences. In the event of cancellation made less than 48 hours, a full fee will be charged.

3.  The session is not confirmed at this moment as it is yet to meet the minimum quorum. We shall keep you updated on its status.

For workshops scheduled in Japan

Enrollment

The minimum number of participants is three. If the minimum number of participants is not reached, depending on the course, it may be canceled. In that case, we will contact you about 2 weeks before the course start date. If the course you wish to take is canceled by Kepner-Tregoe, you may transfer to another course.

As a rule of thumb, we would like to limit the number of participants from one company to a maximum of 5 per course. In addition, we will refuse applications from individuals in the same industry as Kepner-Tregoe or who do not belong to corporations or organizations.

Course information & invoicing

Details such as venue and time will be sent to participants by e-mail 2-3 weeks before the course start date. Please note that, depending on the course, you may be asked to prepare for practical assignments. For payment, an invoice will be sent to the participant by e-mail. Please make a bank transfer by the day before the course start date. We only accept payment via bank transfer through your company. Any bank charges will be paid by the sender.

Cancellation & Transfer Policy

Cancellation

If the participant is no longer able to attend, you may substitute another individual. If that is not possible, a cancellation fee will be charged as follows:

  • Up to 15 days before the course starts: No cancellation fee
  • From 14 days to 8 days before the course start date: 30% of the course fee
  • From 7 days to 5 days before the course start date: 50% of the course fee
  • From 4 days to 1 day before the course start date: 80% of the course fee
  • On the day of the course and during the event: 100% of the course fee

Transferring to another course

Only one transfer to another date will be accepted. If you wish to transfer to an alternative course date, please contact us by e-mail. We will then send you an invoice for a transfer fee, which must be paid by the day before the course start date:

  • Up to 15 days before the course start date: No transfer fee
  • From 14 days to 8 days before the course start date: 15% of the course fee
  • From 7 days to 5 days before the course start date: 25% of the course fee
  • From 4 days to 1 day before the course start date: 40% of the course fee
  • On the day of the course and during the event: 50% of the course fee
